# Miami Racket Club — Terms and Conditions

**Effective date:** August 27, 2026

Welcome to Miami Racket Club. These Terms and Conditions ("Terms") govern your membership and your use of Miami Racket Club ("MRC," "the Club," "we," "us," or "our"), including our courts, programming, events, website, and communications. By applying for membership, activating a membership, paying a Club invoice, or participating in any Club activity as a member or a guest, you agree to these Terms. Please read them carefully. If you do not agree, do not enroll or participate.

 

## 1. Membership

Membership is individual and personal to you. It is not transferable and may not be shared, assigned, or sold. Membership grants access to the programming and benefits associated with your tier, subject to availability, capacity, and these Terms.

We offer two membership tiers:

 

**Core Membership.** Includes access to Club programming at the member rate, entry into the Player Challenge ladder and flex tournaments, and participation in Club socials and community events. Practice sessions, liveball, and select events are available at the member rate noted at the time of booking.

**Full Membership.** Includes everything in Core, with practice sessions and the Player Challenge benefit included at no additional per-session charge, subject to the benefit-retention terms below.

**Full membership benefit retention.** The included benefits of Full Membership, meaning practice and Player Challenge at no additional charge, are intended for active participants. To retain these included benefits, a Full member is expected to do at least **one** of the following in each calendar quarter: attend **three (3) or more** on-court or off-court Club events; or play Player Challenge at an average of **at least one match per ten (10) days** of a season. Meeting either one retains the benefit for the quarter.

If a Full member does neither in a quarter, the Club will send a reminder. If the member again does neither in the following quarter, the Club may move the member to Core Membership at the Core rate. This condition applies only to the included benefits of the Full tier. It does not affect your membership itself, which continues under these Terms until canceled.

Inclusions, rates, and programming for each tier are described in current Club materials and may be updated from time to time under Section 13. The tier you are enrolled in, and its rate, are confirmed at the time you activate your membership.

 

## 2. Guests and non-member participants

You do not need to be a member to take part in certain Club programming, including Player Challenge, flex tournaments, ladders, and open events such as The All Miami. Anyone who registers for or takes part in any Club activity, whether or not they are a member, is a participant and is bound by these Terms to the extent they apply to that activity, including the fee, non-refundability, conduct, assumption-of-risk, release, and photography and media provisions below.

Participation in events, tournaments, and ladders is also governed by the Club's **Event and Tournament Participation Agreement** and by any event-specific rules published at registration. By registering, every participant accepts those terms. Where an event-specific rule and these Terms conflict, the event-specific rule controls for that event. Guests remain responsible for the fees, conduct, and obligations tied to their participation even though they hold no membership.

 

## 3. Upgrades and downgrades

You may upgrade your tier at any time; the new rate applies from your next invoice. You may downgrade your tier once per rolling twelve-month period; the change takes effect at your next billing date. This limit keeps tier assignments stable for planning purposes. Nothing in this section limits your right to cancel under Section 5.

 

## 4. No minimum term

There is no minimum membership term and no long-term commitment. Your membership continues month to month until you cancel it or the Club ends it under these Terms.

 

## 5. Cancellation

You may cancel your membership at any time by providing written notice to the Club at least sixty (60) days before your intended end date. Dues continue to be owed, and invoices continue to be issued, through the sixty-day notice period; your membership and benefits remain active during that time. To cancel, email the Club at the address in Section 22 and receive our confirmation. Cancellation is effective only once we confirm receipt of your written notice.

 

## 6. Membership holds

You may place your membership on hold once per rolling twelve-month period for a single period of up to thirty (30) days. During a hold, billing pauses and benefits are suspended. Requests must be made in writing before the hold begins. Holds do not extend or offset the cancellation notice period in Section 5.

 

## 7. Billing and payment

**Recurring membership dues.** By enrolling, you authorize the Club to automatically charge the payment method you keep on file for your recurring monthly membership dues. Dues are billed on a recurring monthly cycle tied to your activation date unless we tell you otherwise. This authorization is limited to your recurring membership dues and remains in effect until your membership ends and any balance is paid in full. You are responsible for keeping a valid payment method on file.

**All other charges are invoiced, not auto-debited.** We do not automatically charge your payment method for anything other than your recurring dues. Event and tournament fees, the no-show fee in Section 8, and any other amounts you incur are invoiced to you separately, and you are responsible for paying each invoice in full by its stated due date using a payment method the Club accepts.

**Pricing and price changes.** The Club sets the prices for membership dues and for all programming, sessions, events, and fees, including practice, clinics, liveball, Player Challenge, flex and ladder tournaments, physical therapy, personal training, and other offerings, and may add, change, or remove any of these prices and offerings at any time as needed. The price that applies to a given session or event is the price shown at the time you book or register for it. For recurring membership dues, we will give notice of any change to your rate as described in Section 13 before it takes effect, and your continued membership after the change constitutes acceptance.

If a recurring dues charge fails, we will notify you and give you a short grace period to update your payment method. If dues remain unpaid, or if any invoice for other charges is not paid by its due date, the following applies:

- We may send a reminder and a short grace period may apply as noted on the invoice.
- If dues or an invoice remain unpaid past the due date, we may suspend your membership and benefits, including access to programming, practice, and the Player Challenge, until your balance is paid in full.
- If dues or an invoice remain unpaid for forty-five (45) days or more, the outstanding balance may be referred to a third-party collections service, and you will be responsible for any reasonable costs of collection permitted by law.

Event and tournament fees, including for guests, are invoiced or collected at registration and are due as stated at that time. Keeping your contact and billing email current is your responsibility, so that invoices reach you. Failure to receive an invoice does not waive your obligation to pay dues or fees that have accrued.

 

## 8. Attendance, bookings, and the no-show fee

Practice sessions, liveball, clinics, and similar programming are offered on a reserved basis and have limited capacity. When you reserve a spot, you are holding a place that another member could have used.

If you do not show up for a reservation, or cancel with less than twenty-four (24) hours' notice, a **no-show fee of $20** will be added to your next invoice. **This fee applies even if practice or the session would otherwise be included in your tier**, because it reflects the held capacity rather than the session itself. To avoid the fee, cancel your reservation at least twenty-four hours in advance through the Club's booking system.

 

## 9. Player Challenge, flex tournaments, and ladders

The Player Challenge ladder, flex tournaments, and related organized play are core Club programming, open to members and, where noted, to non-members. Depending on your tier or registration, participation is either included or available at the member or non-member rate stated at registration. Season dates, formats, and any per-season or per-event fees are published in current Club materials for each season. Non-members who register are bound by these Terms and by the Event and Tournament Participation Agreement referenced in Section 2.

Player Challenge and flex play are organized by skill level using each player's rating (see Section 10). Continued participation in a given season assumes good-faith, active play consistent with the season's format. The Club may adjust brackets, pairings, or schedules to keep play competitive and fair.

**Scheduling, results, and disputes.** Ladder matches are arranged directly between players. The Club is not responsible for arranging matches on your behalf, and unplayed matches may be recorded as forfeits or walkovers under the published season rules. Scores are self-reported in good faith and by the stated deadlines. Where a result is disputed or a rule question arises, the Club will review the matter and its determination is final for standings and scheduling purposes.

 

## 10. Ratings and level-based play

Much of our programming is organized by level using a rating for each player based on the National Tennis Rating Program (NTRP) scale. Ratings are drawn from your recorded matches, including Player Challenge matches, flex tournaments, and other organized play. **Ratings reset every calendar quarter** based on the matches you play, so that your level reflects your current form. Ratings are our good-faith estimate for the purpose of creating balanced, enjoyable play; they are not an official or externally certified rating. If you believe your rating does not reflect your play, you may contact the Club to review the calculation. The Club's determination of level assignments is final for programming purposes.

 

## 11. Fees are non-refundable

Except where required by law, all membership dues, event fees, program fees, tournament entry fees, and other charges are non-refundable, including for partial months, missed sessions, withdrawals, or unused benefits. Canceling your membership does not entitle you to a refund of dues already invoiced or paid, including dues owed during the cancellation notice period. Event and tournament cancellations are governed by Section 14 and by the Event and Tournament Participation Agreement.

 

## 12. Member and participant conduct

We want the Club to be welcoming, respectful, and safe. You agree to treat members, guests, coaches, staff, and facilities with courtesy and care, and to follow posted rules and reasonable staff instructions. Harassment, threats, discrimination, violence, harm or endangerment of others, dishonesty toward the Club, damage to facilities, or conduct that materially disrupts the community may result in a warning, suspension, removal from an event, or revocation of membership, at the Club's reasonable discretion and depending on severity. Where membership is revoked for such conduct, unused dues for the then-current period are non-refundable. This section addresses harmful conduct; it is not a participation or attendance requirement.

 

## 13. Changes to these Terms

We may update these Terms, our tiers, inclusions, rates, fees, schedules, and policies from time to time as the Club evolves. When we make a material change, we will post the updated Terms and, where practical, notify members by email or through Club communications. Changes take effect on the date posted or the date stated in the notice. Your continued membership or participation after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, your remedy is to cancel under Section 5.

 

## 14. Event and tournament policies

Events, programming, and facility access are subject to capacity limits, weather, court conditions, coach and staff availability, and other operational factors. We may reschedule, relocate, modify, or cancel any session, event, or tournament. Where a paid event is canceled by the Club and not rescheduled, we will make a reasonable accommodation, which may include a credit toward future programming, as described in the Event and Tournament Participation Agreement. Registration for events may be required in advance, and the no-show terms in Section 8 apply to reserved programming.

 

## 15. Assumption of risk and release of liability

Tennis and racket sports involve inherent risks, including the risk of physical injury. By participating in any Club activity as a member or a guest, you acknowledge and voluntarily assume all risks associated with participation. To the fullest extent permitted by law, you release and hold harmless Miami Racket Club, its owners, staff, coaches, contractors, event co-organizers, sponsors, and venue partners from any claims, liabilities, injuries, losses, or damages arising out of or related to your participation, your use of any facility, or your presence at any Club activity, except to the extent caused by gross negligence or willful misconduct. You are responsible for ensuring you are physically fit to participate and for using appropriate care and equipment.

 

## 16. Photography and media

The Club and its event co-organizers and sponsors may photograph, record, or film Club programming, events, and community for use in Club and event communications, social media, marketing, sponsor deliverables, and archives. By participating, you grant the Club and its event co-organizers and sponsors permission to use your name, image, and likeness in such materials without compensation. If you prefer not to be featured in Club marketing, notify the Club in writing and we will make reasonable efforts to accommodate your request, though we cannot remove your likeness from live event coverage or third-party sponsor materials already produced.

 

## 17. Website and communications

Our website and communications are provided for member and participant information and Club business. Content on the website is owned by or licensed to the Club and may not be copied or reused without permission. By providing your email or phone number, you consent to receive Club communications, including membership, billing, programming, event, and community messages. You may adjust your communication preferences by contacting the Club, though certain essential messages, such as invoices and account notices, are necessary to maintain your membership or registration.

 

## 18. Privacy

We collect and use the information you provide, such as your name, contact details, billing email, and participation history, to operate your membership or registration, send invoices, organize programming, and communicate with you. We do not sell your personal information. We share it only with service providers and event co-organizers who help us run the Club and its events, and only as needed to provide those services, and as required by law.

 

## 19. Chargebacks and payment disputes

If you believe a dues charge, an invoice, or another charge is incorrect, please contact the Club first at the address below so we can review and resolve it directly. Because most charges other than your recurring dues are invoiced rather than charged automatically, disputes can usually be resolved quickly by looking at your account together. Initiating a chargeback or payment dispute without first contacting the Club may result in suspension of membership or forfeiture of event registration pending resolution.

 

## 20. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to your membership, your participation, or these Terms shall be resolved through binding arbitration in Miami-Dade County, Florida, on an individual basis. You and the Club waive any right to bring or participate in a class, collective, or representative action. You agree to indemnify and hold the Club harmless from claims, damages, and expenses, including reasonable attorneys' fees, arising out of your breach of these Terms or your conduct at the Club, to the extent permitted by law.

 

## 21. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Event and Tournament Participation Agreement where it applies, are the entire agreement between you and the Club regarding your membership and participation, and supersede prior membership terms.
